Terms of service

These terms of service ("Terms") govern access to and use of the Yenlio platform and website. Yenlio is provided by Nursery Room Ltd, a company registered in England & Wales (company number 11237964) with its registered office at 375 Bellegrove Road, Welling, Kent, DA16 3RL, United Kingdom, trading as "Yenlio" ("Yenlio", "we", "us", "our").

By creating an account, signing an order form, or using the service, you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm you are authorised to bind that organisation.

1. Who these terms apply to

These Terms apply to:

  • Customers — the organisations that subscribe to Yenlio, including nurseries, childminders, other early-years providers, and groups of settings (each a "Customer" or "setting").
  • Authorised users — the staff and administrators a Customer invites to use Yenlio on its behalf.
  • Parent users — parents, guardians and carers who are invited by a Customer to access records that the Customer chooses to make available to them. Parent users access Yenlio as invited users linked to a particular setting; their access is controlled by that setting.

The Customer is responsible for the use of Yenlio by all of its authorised users and for ensuring they comply with these Terms.

2. The service

Yenlio is nursery-management software for early-years settings. Depending on your plan, entitlements and add-ons, the service may include:

  • attendance registers and child records;
  • learning journeys, observations and assessments;
  • parent communication and messaging;
  • invoicing and payments, including Direct Debit collection;
  • consent management and document handling;
  • Ofsted-readiness tools;
  • AI-assisted tools and machine translation;
  • accident and medication records;
  • photo memories; and
  • other features made available from time to time.

Features vary by plan and may be added, changed or removed as the service evolves. We will not materially reduce the core functionality of a paid plan during a paid period without reasonable notice.

3. Your account and responsibilities

You are responsible for:

  • providing accurate and up-to-date information about your setting, including your provider type and Ofsted registration details;
  • ensuring that only authorised users access your account;
  • keeping login credentials, PINs and devices secure;
  • promptly adding, updating and removing staff access as roles change; and
  • the accuracy and lawfulness of the data you and your users enter into Yenlio.

You must notify us promptly at privacy@yenlio.app if you believe an account has been compromised or accessed without authorisation.

4. Provider type and Ofsted registration

Pricing and eligibility for certain plans may depend on your provider type (for example, childminder, nursery or group) and your Ofsted registration details. You must not misrepresent your provider type or registration status in order to obtain a plan, price or feature you are not entitled to. We may verify provider-type and registration details and may adjust or suspend a plan where a misrepresentation is found.

5. Acceptable use

You agree that you and your users will not:

  • use Yenlio for any unlawful, harmful, abusive, infringing or malicious purpose;
  • upload, store or share content that is illegal, inappropriate, or that you do not have the right to use;
  • attempt to gain unauthorised access to the platform, to other settings' data, or to any account, system or network;
  • bypass, disable or circumvent plan limits, tenant isolation, security controls, or provider-type checks; or
  • interfere with or disrupt the integrity, availability or performance of the service.

We may suspend or restrict access to investigate or address a suspected breach of this section.

6. Customer data, privacy and data protection

You own and control the data your setting puts into Yenlio. We process that data on your behalf in order to provide the service.

Our processing of personal data on your behalf is governed by our Data Processing Agreement, and our handling of personal data more generally is described in our Privacy notice. Yenlio is designed to support UK GDPR and early-years data-protection responsibilities; you remain responsible for your own obligations as a controller, including having a lawful basis for processing and obtaining any consents required from parents and carers.

7. Parent users

Parent users may only access the records that the nursery or childminder chooses to make available to them within Yenlio. We do not decide what a parent can see — the setting controls that.

If a parent has a question or dispute about a child's records, the accuracy of information, or the content shared with them, this should be raised with the nursery or childminder first, as the setting is responsible for those records.

8. AI-assisted tools

Some features use AI to help staff work more quickly — for example, drafting text, summarising evidence, or making suggestions.

  • AI features are assistive only. Their outputs are drafts and suggestions.
  • A member of staff or the Customer must review AI outputs before relying on or sharing them.
  • AI outputs must not be treated as legal, medical, safeguarding, Ofsted, tax, accounting or other professional advice.
  • AI outputs must not be the sole basis for any decision affecting children, families, staff, payments or safeguarding.

You remain responsible for any content you keep, send or act on, whether or not it was AI-assisted.

9. Translation

Where Yenlio offers translation, it is a machine-translation convenience to help families and staff. Machine translation may not be perfect or fully accurate, and you should not rely on it for legal, medical or other documents where precise meaning matters.

10. Subscription plans and limits

Features available to you depend on your plan, entitlements and add-ons. Some features — for example AI tools, DeepL translation, or SMS — may be metered or provided on an allowance basis. Plan limits may apply, including limits on the number of children, staff accounts, storage, messages, AI usage or translation.

We may make reasonable changes to plans, features and limits over time. Where a change is material to a paid plan, we will give you reasonable notice.

11. Free plan

We may offer an optional free starter plan. A free plan may have usage limits and does not include paid features. We may change free-plan limits or the availability of the free plan with reasonable notice.

12. Payments and Direct Debit

Paid plans are billed by Direct Debit collected through GoCardless. By subscribing to a paid plan you authorise the relevant Direct Debit and agree to GoCardless's applicable terms for that mandate.

  • Pricing may be offered as a monthly rolling plan or as a 12-month commitment billed monthly. Unless we introduce it and state so at the time, we do not charge a single annual amount upfront.
  • You must maintain a valid payment method and a working Direct Debit mandate.
  • If a payment is late or fails, we may restrict or suspend access until the amount due is paid. We will make reasonable efforts to contact you before suspending access for non-payment.

Unless stated otherwise at sign-up or on an order form, prices are exclusive of VAT, which will be added where applicable.

13. Commitment terms and cancellation

  • Rolling monthly plan. You may cancel a rolling monthly plan with notice as described in your account. Cancellation takes effect at the end of your current paid period, after which paid features are no longer available.
  • 12-month commitment billed monthly. If you choose a 12-month commitment, you pay monthly by Direct Debit but commit to a minimum term of 12 months. Early termination of a committed plan may require payment of the remaining committed charges, or as otherwise stated at sign-up or on your order form.

Cancelling does not entitle you to a refund of amounts already due or paid for a period already started, except where required by law.

14. Support

Unless your plan states otherwise, support is provided by email. Higher tiers may include priority support. We do not provide a guaranteed service level agreement (SLA) unless an Enterprise or Group agreement expressly provides one.

15. Availability and maintenance

We use reasonable efforts to keep Yenlio available and reliable, but we do not guarantee uninterrupted access. From time to time we carry out maintenance and updates, which may involve scheduled downtime. The service also depends on third-party providers, and outages affecting those providers may affect availability through no fault of our own.

16. Liability

Nothing in these Terms limits or excludes liability where it would be unlawful to do so — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under applicable law.

Subject to the paragraph above, and to the extent permitted by law:

  • we are not liable for loss of profits, loss of business, loss of goodwill, or any indirect or consequential loss; and
  • our total liability to you arising out of or in connection with the service in any 12-month period is limited to the charges paid by you for the service in that period.

You are responsible for the decisions you make using Yenlio, including any decisions informed by AI-assisted outputs (see section 8).

17. Suspension and termination

You may cancel your subscription as described in sections 12 and 13.

We may suspend or terminate access where:

  • you fail to pay amounts due;
  • you or your users misuse the service or breach the acceptable-use rules in section 5; or
  • you are otherwise in serious or repeated breach of these Terms.

Where practical, we will give notice and an opportunity to put matters right before terminating, unless the breach is serious or urgent.

18. Data export and deletion after termination

On termination or expiry, we will make your data available for export for a reasonable period before deletion, as described in our Data Processing Agreement. After that period, we will delete or return the data in accordance with that agreement and applicable law. You are responsible for exporting any records you need to retain to meet your own statutory or regulatory obligations.

19. Changes to these terms and to pricing

We may update these Terms and our pricing from time to time. We will update the "Last updated" date above, and for material changes we will give you reasonable notice. Continuing to use the service after a change takes effect means you accept the updated Terms.

20. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction.
